Boaura is committed to maintaining a safe online environment and strictly prohibits any form of child abuse, child sexual exploitation and abuse (CSEA), child sexual abuse material (CSAM), grooming, or any harmful conduct targeting minors. This Child Safety Policy describes our rules, reporting mechanisms, and enforcement measures to protect children.

1. Scope of Policy

This policy applies to all users of Boaura, all content uploaded, shared, transmitted on our platform, and all interactions between users. This policy supplements our Terms of Service and Privacy Policy.

2. Prohibited Conduct

Users must not engage in, upload, distribute, promote or attempt any of the following activities:

• Create, share, distribute or access child sexual abuse material (CSAM), images, videos, text or any media depicting minors in sexual contexts.
• Groom, manipulate, threaten or coerce minors for sexual purposes.
• Solicit sexual contact or sexual images/videos from children or minors.
• Harass, abuse, exploit or physically/psychologically harm minors.
• Share personal information of minors for harmful purposes (doxxing).
• Promote, normalize or instruct others to commit child abuse or child sexual exploitation.
• Use our platform to arrange in‑person meetings with minors for harmful or sexual intent.

3. User Reporting Obligations

If any user discovers content, messages, accounts or behaviors that violate this policy, you must report it immediately.

When submitting a report, please provide as much evidence as possible: account ID, message screenshots, content links, timestamp, and description of the violation.

4. Platform Enforcement Actions

Once we receive a credible report or detect violations:

• Suspend or permanently ban violating user accounts.
• Preserve required evidence and report illegal activities to relevant law enforcement authorities, as required by applicable laws.
• Cooperate with official investigations.

• Automated and manual content review systems to scan for harmful content related to minors.
• User identity verification for risk user screening.
• Ongoing training for our moderation team on identifying child exploitation and grooming behaviour.
• Restrictions on user communication to reduce grooming risks.

Boaura Terms of Service

1. Introduction

Welcome to Boaura!

LED PROS LTD. (hereinafter referred to as "we", "us", "our", or "the Company") provides a professional social networking platform — Boaura (the "Platform" or "App") designed for global elites, entrepreneurs, high‑net‑worth professionals, and business leaders to connect, network, and share opportunities.

By downloading, installing, accessing, or using Boaura, you ("you" or "User") agree to be bound by these Terms of Service (the "Terms") and our Privacy Policy. If you do not agree to these Terms, please do not use the Platform.

These Terms apply to all users of Boaura, including registered members, guests, and visitors. We reserve the right to update or modify these Terms at any time. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.

Boaura is intended for users aged 18 and above. By using Boaura, you confirm that you are at least 18 years old.

2. Account Registration and Security

2.1 Registration

To access certain features of Boaura, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials.

2.2 Account Security

You are responsible for all activities that occur under your account. You must immediately notify us at [email protected] of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account.

2.3 One Account Per User

You may not create more than one personal account. You may not register on behalf of another person unless you have their explicit authorization.

2.4 Account Cancellation

You may cancel your account at any time via Settings → About Us → Cancel Account within the App. Upon cancellation, we will delete or anonymize your personal information in accordance with our Privacy Policy and applicable laws.

3. User Conduct and Prohibited Activities

You agree to use Boaura only for lawful purposes and in a manner that respects the rights of others. You must not:

• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
• Post, share, or transmit any content that is unlawful, defamatory, obscene, pornographic, indecent, harassing, threatening, abusive, hateful, discriminatory, or otherwise objectionable.
• Harass, bully, intimidate, or stalk any other user.
• Infringe the intellectual property, privacy, or publicity rights of any third party.
• Upload or transmit viruses, malware, or any other malicious code designed to interrupt, destroy, or limit the functionality of the Platform.
• Engage in fraudulent, deceptive, or misleading activities.
• Use the Platform for any commercial solicitation, spam, or unsolicited advertising without our prior written consent.
• Attempt to gain unauthorized access to the Platform, other users' accounts, or any related systems or networks.
• Share or publish another user's personal information without their explicit consent.
• Circumvent or attempt to circumvent any security or verification measures we implement.

We reserve the right, in our sole discretion, to remove any content and suspend or terminate any account that violates these Terms or is otherwise harmful to the community.

4. Elite Verification System

Boaura offers a Triple Elite Verification System (Occupation Verification, Personal Tax Verification, and Personal Credit Verification) to enhance trust and authenticity within the community.

• Verification is optional but may be required to access certain premium features.
• You agree to provide accurate and truthful information during the verification process.
• We may engage third‑party service providers to assist with verification.
• We reserve the right to revoke any verification badge if we determine that the information provided is false, misleading, or no longer accurate.
• Verification status does not guarantee the trustworthiness of any user and is provided "as is."

5. Intellectual Property Rights

5.1 Our Content

All content, features, and functionality on Boaura, including but not limited to the software, design, text, graphics, logos, trademarks, and user interface, are owned by or licensed to LED PROS LTD. and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or reverse engineer any part of the Platform without our express written permission.

5.2 Your Content

You retain all rights to the content you post, upload, or otherwise make available on Boaura ("User Content"). By posting User Content, you grant us a non‑exclusive, worldwide, royalty‑free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the operation and promotion of Boaura.

You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant the above license, and that your User Content does not infringe the rights of any third party.

We reserve the right to remove or disable access to any User Content that we believe violates these Terms or applicable law.

6. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, share, and protect your personal information. By using Boaura, you agree to the collection and use of your information as described in the Privacy Policy.

BOAURA IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, INFORMATION, OR SERVICES PROVIDED THROUGH BOAURA.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LED PROS LTD., ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

IN ANY CASE, OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE SIX (6) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

8.3 User Interactions

You are solely responsible for your interactions with other users. We are not responsible for the conduct of any user, whether online or offline. You understand that we do not conduct criminal background checks or otherwise verify the identity or trustworthiness of users. You should exercise caution and use your judgment when interacting with others on the Platform.

9. Indemnification

You agree to indemnify, defend, and hold harmless LED PROS LTD., its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Platform;
• Your User Content;
• Your violation of these Terms;
• Your violation of any applicable laws or regulations;
• Your violation of any third‑party rights.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claims.

10. Termination

We may terminate or suspend your account and access to Boaura immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination:

• Your right to use the Platform will cease immediately.
• We may delete or anonymize your personal information in accordance with our Privacy Policy and applicable laws.
• Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, indemnification, and limitation of liability.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law principles.

11.2 Dispute Resolution – Mandatory Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of Boaura shall be resolved exclusively by binding arbitration in accordance with the rules of the Canadian Arbitration Association (CAA). The arbitration shall be conducted in Edmonton, Alberta, Canada, in the English language. The decision of the arbitrator shall be final and binding on all parties.

11.3 Exceptions

You may bring claims in small claims court in Edmonton, Alberta, for disputes that fall within the jurisdiction of such court. Additionally, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights.

11.4 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION.

12. Changes to These Terms

We reserve the right to modify or update these Terms at any time. When we make changes, we will:

• Post the updated Terms on this page with a new "Last Updated" date.
• Notify you of significant changes via email or through a prominent notice within the Platform.
• Obtain your consent if required by applicable law.

Your continued use of Boaura after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and cancel your account.

13. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and LED PROS LTD. regarding your use of Boaura.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
• No Agency: Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us.
• Force Majeure: We shall not be liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemic, government actions, or technical failures.
